1. Introduction

Welcome to Xchange, a platform that allows users to participate in prediction markets by trading shares based on their opinion regarding the likelihood of various future events. The Platform is provided and operated by Xchange Technologies Pvt. Ltd. (“Xchange,” “we,” “us,” or “our”). By accessing or using the Xchange Platform (the “Platform”), you agree to comply with and be bound by these Terms and Conditions (the “Agreement”). If you do not agree to these Terms, you must not access or use the Platform.

Xchange reserves the right to modify or amend these Terms at any time, and we will notify you of any such changes. By continuing to use the Platform after such modifications, you agree to be bound by the updated Terms.

2. Definitions

  • Platform: Refers to the Xchange website, mobile applications, and any other related services offered by Xchange.

  • User: Any individual or entity that has registered and created an account on the Platform and accesses or uses the Platform’s services.

  • Account: The personal profile that a User creates in order to use the Platform, which includes details such as name, email, payment information, etc.

  • Event: A specific market or prediction created on Xchange regarding a particular outcome that Users can buy or sell shares in.

  • Shares: Virtual tokens bought or sold by Users that represent their opinion on the likelihood of an event happening.

  • Transaction Fees: The fees charged by Xchange for conducting trades or participating in prediction markets.

  • Winnings: The amount a User earns from successful predictions, after accounting for any transaction fees and applicable taxes.

  • KYC: The "Know Your Customer" process, which is required to verify the identity of users before they are allowed to participate in real-money transactions.

3. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. You also agree to comply with any additional terms, policies, or rules made available by Xchange in connection with the services provided through the Platform, including the Privacy Policy.

Xchange reserves the right to modify, update, or amend these Terms at any time. Any changes will be posted on the Platform, and the revised Terms will be effective immediately upon posting. You may also be notified of any changes via email or through notifications on the Platform. Continued use of the Platform after such changes constitutes your acceptance of the modified Terms.

4. Eligibility

  • Age: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Platform and participate in prediction markets.

  • Legal Capacity: You must have the legal capacity to form binding contracts under the laws of India.

  • Residence: The Platform is intended solely for residents of India. If you are located outside of India, you are not permitted to use the Platform without express authorization from Xchange.

  • KYC Verification: Users must complete the KYC verification process before they are allowed to make real-money transactions or withdraw earnings. This includes providing identification documents and verifying payment methods.

5. Account Registration and Security

  • Creating an Account: To use the services provided by Xchange, you must create an Account by providing accurate, complete, and up-to-date information during the registration process.

  • Account Security: You are responsible for maintaining the confidentiality of your Account credentials, including your username and password. You agree to notify Xchange immediately if you suspect any unauthorized use of your Account.

  • KYC Compliance: As part of the registration process, you will be required to complete KYC verification, which includes submitting identity documents (e.g., passport, Aadhar, etc.), proof of address, and other relevant documentation as required by Xchange.

6. Use of the Platform

  • Permitted Use: You agree to use the Platform for lawful purposes only and in compliance with all applicable laws and regulations. You shall not use the Platform to engage in any illegal, fraudulent, or unethical activities.

  • Prohibited Use: You agree not to:

    • Engage in market manipulation, including artificially inflating or deflating prices.

    • Post or transmit any content that violates the rights of third parties, including intellectual property rights.

    • Use bots, automation, or unauthorized third-party software to interfere with or manipulate the Platform’s services.

  • Account Suspension: Xchange reserves the right to suspend or terminate your Account, restrict your access to the Platform, or remove content at its sole discretion, particularly in cases of suspected fraud or misconduct.

7. Prediction Markets and Units

  • Market Creation: Users can create prediction markets on the Platform based on various events. These markets will specify the event in question and the potential outcomes that users can trade shares in.

  • Buying and Selling Shares: Shares are purchased in prediction markets based on a User’s prediction of an event's outcome. Users can sell their shares when they choose, depending on market conditions.

  • Event Settlement: The outcome of each prediction market is determined once the event has occurred. Shares will be settled based on the event’s outcome, and winnings will be distributed accordingly.

  • Market Liquidity: Xchange may impose liquidity limits on specific markets or share classes, depending on demand, volatility, and market conditions. The availability of shares for buying or selling may be restricted during periods of low liquidity.

  • Market Cancellation: Xchange reserves the right to cancel markets or adjust the market rules in cases of technical errors, fraud, or unforeseen circumstances that prevent fair market functioning.

8. Fees and Payments

  • Transaction Fees: Xchange charges transaction fees for buying and selling shares on the Platform. The applicable fees will be clearly displayed during each transaction. Xchange reserves the right to adjust transaction fees at its discretion.

  • Payment Methods: Users must fund their Xchange Account via authorized payment methods (e.g., UPI, debit/credit cards). All payment transactions are processed through secure third-party payment gateways.

  • Deposit Accounts: Users can deposit real money into their Xchange Account to place bids and trade shares. These funds are held in a deposit account, and withdrawals are subject to KYC verification.

  • Withdrawal: Users may request withdrawals of their winnings or remaining balance, subject to any applicable limits and transaction fees. Withdrawals are processed through direct bank transfers or other available methods. Users must complete KYC verification before initiating a withdrawal.

  • Tax Liability: Users are responsible for any taxes that apply to their transactions or winnings, including Goods and Services Tax (GST), Tax Deducted at Source (TDS), and any other applicable taxes.

9. Withdrawal and Account Limits

  • Users can withdraw their earnings subject to a minimum withdrawal limit and applicable transaction fees.

  • Withdrawals are processed after completing KYC verification. If required, additional documentation may be requested to complete the process.

  • Xchange reserves the right to suspend or deny withdrawal requests if fraud, suspicious activity, or other legal issues are detected.

10. User Conduct

By using the Platform, you agree to:

  • Provide true, accurate, and up-to-date information during registration and while using the Platform.

  • Comply with all applicable laws, including data protection and intellectual property laws.

  • Refrain from posting content that is defamatory, abusive, offensive, or otherwise inappropriate.

  • Not attempt to disrupt or overburden Xchange’s systems, servers, or infrastructure.

Xchange reserves the right to suspend or terminate your account for any violation of these Terms, and may take legal action if necessary.

11. Intellectual Property

  • Ownership of Content: Xchange owns the intellectual property rights to the Platform, including all software, logos, trademarks, and other proprietary content. Users may not modify, distribute, or reproduce any content on the Platform without express written consent.

  • User-Generated Content: By submitting content (e.g., opinions, predictions, or market suggestions) to the Platform, Users grant Xchange a worldwide, royalty-free, non-exclusive license to use, distribute, display, and modify such content as part of the Platform's operations.

12. Privacy Policy

Xchange values your privacy. All personal information collected from Users is subject to our Privacy Policy, which is available [here]. By using the Platform, you consent to the collection, use, and processing of your data in accordance with the Privacy Policy.

13. Limitation of Liability

  • No Guarantee: Xchange does not guarantee that the Platform will be uninterrupted or error-free, or that it will meet your expectations. The Platform is provided on an "as-is" and "as-available" basis.

  • Indemnity: You agree to indemnify and hold Xchange harmless from any claims, damages, losses, or liabilities arising out of your use of the Platform, including any third-party claims related to intellectual property, content, or transactions.

14. Termination

  • Xchange reserves the right to suspend or terminate a User's access to the Platform, at its discretion, without notice, if any violation of these Terms occurs.

  • Upon termination, all rights granted to the User will immediately cease, and access to the Account will be revoked.


15. Dispute Resolution and Governing Law

  • Arbitration: Any disputes or claims arising from these Terms shall be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India.

  • Jurisdiction: Any disputes that cannot be resolved through arbitration shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

16. Changes to Terms and Conditions

Xchange reserves the right to modify these Terms and Conditions at any time. The updated Terms will be posted on the Platform and will become effective immediately upon posting. Continued use of the Platform after any modifications will constitute your acceptance of the updated Terms.
